Common Payroll Tax Problems We Resolve

Payroll tax problems often arise when businesses pay payroll taxes late—or not at all. Here are some of the most common problems we help taxpayers with:

  • Late or missing 941 tax deposits: Failing to make timely federal payroll tax deposits is one of the quickest ways to get the IRS’s attention—and it also frequently leads to sizable penalties. We work with businesses to get them back in good standing with the IRS.
  • Unfiled or inaccurate payroll returns: Errors or missed filings can lead to significant issues, including penalties, taxes due based on inaccurate returns, and an incomplete picture of your business’s financial standing.
  • Trust Fund Recovery Penalty risks or interviews: The IRS may assess a trust fund recovery penalty worth 100% of the unpaid trust fund portion of the payroll taxes (aka the taxes withheld from employee pay) against responsible individuals in the business.
  • Minnesota withholding tax delinquencies: Falling behind on state payroll taxes is just as serious a situation as falling behind in your federal payments. Delinquent withholding tax payments can lead to harsh penalties, liens, and the loss of business assets.
  • Personal liability for unpaid MN payroll taxes: The MN DOR can hold you personally liable for unpaid MN payroll taxes.
  • Missed DEED unemployment insurance filings: The Minnesota Department of Employment and Economic Development enforces unemployment insurance requirements. If you fail to file on time, the Department may impose expensive fines and penalties.
  • Notices from IRS, MN DOR, or DEED: If you have received any notices from the IRS, DOR, or DEED—especially those demanding immediate payment—you need to act now. Our team can help you respond appropriately and find solutions to your payroll tax issues.

IRS Payroll Tax Enforcement

When businesses do not comply with their payroll tax obligations, the IRS can take aggressive enforcement actions. The IRS views delinquent payroll taxes as a more severe issue than other types of unpaid taxes, and they move on to more aggressive collection efforts more quickly when a business is not paying its withheld taxes.

At some point, your account will likely be moved out of their automated system and be assigned to a Revenue Officer. Revenue Officers may visit your place of work or home, interview employees, place liens on your property, or levy assets.

If you go too long without responding to the IRS, they stop attempting to secure voluntary payment and focus on enforced collections. This means placing a lien on your business assets, levying bank accounts or client payments, and seizing business assets.

Finally, if your business has fallen behind on payroll tax deposits, the IRS has the authority to determine a responsible party who can be held personally liable for the Trust Fund Recovery Penalty. The responsible party is generally someone who is responsible for making tax payments and making decisions regarding how business funds are spent. This penalty is equal to the full amount of unpaid payroll tax, so it’s a dangerous situation to be in. Your personal assets could be at risk.

Minnesota Payroll Tax Enforcement

The state of Minnesota also has its own set of enforcement tools to keep businesses compliant with payroll tax laws. Learn more about how Minnesota handles delinquent payroll taxes:

  • Minnesota DOR withholding tax enforcement: If your business falls behind on state withholding taxes, the Department of Revenue will step in to collect what you owe. They may issue notices, impose penalties, and garnish wages.
  • DEED enforcement of unemployment tax compliance: This department enforces unemployment insurance tax in Minnesota. Should your business fail to make unemployment insurance filings, DEED can take several steps to recover the debt. They may assess penalties or revoke your permission to hire workers in Minnesota.
  • Key differences and overlapping responsibilities: While the IRS focuses on federal payroll taxes, the Minnesota DOR and DEED focus exclusively on state-specific responsibilities and tax obligations. They are both legally authorized to pursue collections against business taxpayers.

If you’re dealing with multiple layers of jurisdiction, you need a tax pro who’s experienced with the Minnesota DOR and the IRS.

Relief Options Available

If you have fallen behind on payroll taxes, there are options available to you to help you resolve your debt and avoid more aggressive collection efforts. Here are some of the options that our team can help you with:

  • IRS and Minnesota payment plans: Both the IRS and the Minnesota Department of Revenue have installment agreement options for businesses that need assistance getting caught up with payroll taxes. We can look at your financial situation and tax debt to help you find an IRS or MN payment plan that makes sense for your business.
  • Penalty abatement strategies Penalty abatement is available in some cases, offering a reduction or complete removal of certain penalties. Depending on the circumstances, you may be able to have penalties forgiven because you have a history of tax compliance or because you have reasonable cause for falling behind.
  • Offer in compromise> Both the IRS and the Department of Revenue have offer in compromise options for business owners. If your offer is the most the agency can reasonably expect to collect from you, they may accept it.
  • Currently not collectible or uncollectible status: You may request currently not collectible status from the IRS or find out if the DOR considers your debt uncollectible. There are slight differences between these options, which is why we recommend talking to a tax pro.
